Welcome to Capital Expansion Strategies LLC (“CES,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our website, coaching programs, educational resources, tools, alerts, and any related materials or services (collectively, the “Services”).

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy and Risk Disclosure Document, which are each incorporated herein by reference.

If you do not agree with these Terms, you must not use the Services.

Capital Expansion Strategies provides educational financial coaching and market insights intended to enhance financial literacy and promote informed decision-making.

CES does not:

• Provide individualized investment, tax, or legal advice

• Execute, manage, or recommend trades

• Act as a broker, dealer, or registered investment adviser

All information provided is for educational purposes only. Any actions you take in the market are your sole responsibility.

3. Eligibility

To use our Services, you must:

• Be at least 18 years of age;

• Have the legal capacity to enter into binding agreements; and

• Use the Services for personal, non-commercial, educational purposes only.

4. Coaching Services & Intellectual Property

All coaching sessions, digital materials, tools, videos, reports, and alerts are the exclusive property of Capital Expansion Strategies and are protected under applicable copyright and intellectual property laws.

You agree not to share, distribute, sell, sublicense, or reproduce any materials, content, or alerts from CES without express written authorization.
Unauthorized distribution or reproduction of CES materials, including trade alerts or performance commentary, is a violation of these Terms and may result in immediate termination of Services and potential legal action.

5. No Performance Guarantees

Any references to past performance, case studies, or examples are provided solely for educational illustration. Past performance is not indicative of future results, and no discussion of prior market outcomes should be interpreted as a suggestion to act, an implied recommendation, or a guarantee of future performance.

6. User Responsibilities

You agree to:

• Use CES materials responsibly and solely for educational benefit;

• Independently evaluate all information before taking investment actions;

7. Payment & Billing

All payments are due in full at the time of enrollment unless otherwise specified. Accepted payment methods may include:

• Zelle (preferred)

• Venmo

• Other authorized methods listed during checkout

All fees are final and non-refundable unless an explicit refund policy is provided for a particular service or package.

8. Account Access & Security

You are solely responsible for maintaining the confidentiality of your account credentials. CES is not liable for unauthorized access or activity arising from your failure to secure your account.

CES reserves the right to suspend or terminate access in the event of suspected misuse or violation of these Terms.

9. Risk Assumption

Participation in the financial markets carries substantial risks, including the risk of total loss of invested capital.

By using our Services, you acknowledge and accept these risks and agree that CES bears no responsibility for any financial losses you may incur.

10. Results Disclaimer

Testimonials, case studies, or performance discussions presented through CES are for educational purposes only. They are not representations of typical results or guarantees of success.

Our Services may integrate with third-party tools (such as ConvertKit for communication). CES is not responsible for third-party data handling, reliability, or functionality. Your use of such services is subject to their respective terms and policies.

CES strives to maintain consistent access to Services but cannot guarantee uninterrupted availability. Service interruptions due to maintenance, updates, or unforeseen circumstances may occur without notice.

13. Termination of Services

CES may suspend or terminate access to any user who:

• Violates these Terms,

• Misuses educational content, or

• Engages in any unauthorized sharing or redistribution of CES materials or alerts.

14. Refund Policy

Unless specifically stated otherwise in a written agreement, all payments are final and non-refundable. Exceptions may be made solely at CES’s discretion.

15. Modification of Terms

CES reserves the right to update or modify these Terms at any time. Notice of material changes will be provided via email or posted prominently on our website.
Continued use of the Services following such updates constitutes your acceptance of the revised Terms.

16. Incorporation of Risk Disclosure Document

You acknowledge that your use of CES Services is subject to our Risk Disclosure Document, which is incorporated into these Terms by reference.
You affirm that you have reviewed and understand the document’s discussion of market risk, volatility, and uncertainty before using the Services.

17. Limitation of Liability

To the maximum extent permitted by law, CES and its representatives shall not be liable for any direct, indirect, incidental, consequential, or punitive damages, including without limitation:

• Financial losses, including loss of capital;

• Lost profits or opportunities;

• Service interruptions or data issues;

• Errors, omissions, or delays in market information.

Total cumulative liability for any claim shall not exceed the total amount paid by you to CES within the twelve (12) months preceding the claim.

18. Indemnification

You agree to indemnify, defend, and hold harmless CES, its officers, employees, and affiliates from any claims, damages, liabilities, or expenses (including legal fees) arising out of your misuse of Services or violation of these Terms.

19. Governing Law

These Terms shall be governed and interpreted in accordance with the laws of the State of Texas, without regard to conflict-of-law provisions.

20. Arbitration & Dispute Resolution

Any disputes arising under or relating to these Terms shall be resolved by binding arbitration conducted in the State of Texas by the American Arbitration Association (AAA) or a comparable arbitration provider.

• Each party shall bear its own legal costs and attorney’s fees.

• Arbitration administration and arbitrator fees shall be shared equally, unless otherwise determined by the arbitrator.

• Class actions, joint claims, or representative proceedings are not permitted.

22. Entire Agreement
